1. Our agreement with you
These Terms and Conditions (“Terms”) govern access to Diskovalist’s website, applications and related digital services (collectively, the “Platform”). “Diskovalist”, “we”, “us” and “our” refer to Diskovalist INC (United States) and Diskovalist Pty Ltd (South Africa), as applicable to the services each supplies. Both entities participate in the Diskovalist ecosystem. Your registration, checkout or signed agreement must identify the entity supplying your service before you accept a contract. The identified supplier is responsible for its contractual obligations; an entity’s participation in the ecosystem does not, by itself, make it jointly liable for the other entity’s obligations. If both entities supply a service under one agreement, that agreement must state their respective responsibilities. Neither your location nor an office address alone determines your contracting entity. “You” means the individual using the Platform or the organisation that individual is authorised to represent.
Please read these Terms before creating an account or purchasing a plan. By accepting these Terms during registration or checkout, you agree to them. Where acceptance through use is legally sufficient, your use after receiving clear notice of these Terms also constitutes acceptance. If you do not agree, do not create an account or purchase or use the affected service.
The plan description and checkout information form part of your purchase agreement. A separately signed enterprise agreement prevails for the matters it expressly covers. Mandatory legal rights always prevail over conflicting terms.
2. The Diskovalist ecosystem
Diskovalist is an integrated opportunity and growth ecosystem that combines artificial intelligence, purpose-built software, structured data and connected digital workflows. Its value lies in transforming dispersed information into relevant discovery, contextual insight, personalised matching and practical pathways to action across education, skills, careers, entrepreneurship, funding, collaboration and business growth.
The Platform brings opportunity discovery, decision support, organisation and engagement into a unified experience. Its design priorities are relevance, clarity, usability and continuity from discovery to action. These priorities describe the product’s intended quality and purpose; specific service commitments are those expressly included in your plan or agreement.
Available features may include opportunity listings, recommendations, summaries, profiles, alerts, networking and planning tools. Availability depends on your plan, location and the features actually released. Roadmaps, demonstrations and announcements do not make unreleased features part of a subscription unless expressly included in the purchase agreement.
Unless a separate written agreement expressly states otherwise, Diskovalist is an information and technology platform, not an employer, educational institution, lender, investment intermediary, immigration adviser or guarantor of third-party opportunities.
3. Eligibility and accounts
You must be at least 16 and meet any higher minimum age required by your local law. If you are below the age at which you can independently enter this agreement, a parent or legal guardian must approve your participation, provide legally required consent and accept the applicable obligations on your behalf through our designated process. If the required process is unavailable, you must not register. Services restricted to adults are unavailable to minors.
Provide accurate registration information, keep it current and protect your credentials. Notify us promptly of suspected unauthorised access. You are responsible for activity you authorise and for taking reasonable steps to secure your account; you are not automatically responsible for every unauthorised act regardless of fault.
If acting for an organisation, you must have authority to bind it. Accounts and subscriptions may not be transferred or shared outside the permissions of the purchased plan.
4. Permitted use and acceptable conduct
We grant you a limited, non-exclusive, non-transferable right to use the Platform for lawful personal, educational, professional or business purposes within your plan. This includes legitimate business use; it does not permit resale of Platform access.
You must not:
- Misrepresent your identity, qualifications, organisation or opportunities, or submit fraudulent applications.
- Publish scams, discriminatory or unlawful listings, harassment, malware or content that infringes another person’s rights.
- Collect personal information, send unsolicited bulk communications or exploit users without a lawful basis.
- Bypass access controls, payment requirements or usage limits; compromise security; or disrupt the Platform.
- Scrape or extract Platform data in bulk or use automated access except through an authorised integration or with written permission.
- Copy, resell or reverse engineer protected software except where applicable law permits it despite this restriction.
- Use AI outputs to deceive, unlawfully discriminate or make unlawful decisions about others.
We may investigate suspected misuse and moderate content proportionately, subject to applicable privacy law and the Privacy Policy. Reporting tools or info@diskovalist.com may be used to raise concerns.
5. AI capabilities and automated assistance
Some functions use AI, automated matching or third-party models alongside conventional software. Outputs may be incomplete, inaccurate, outdated or unsuitable, and similar outputs may be supplied to other users. A recommendation or match is a discovery aid, not confirmation of eligibility, authenticity or acceptance.
Review important outputs and check the original provider’s requirements, deadlines, fees and terms before relying on them. Do not submit false statements or AI-generated qualifications in an application. You remain responsible for decisions and submissions you authorise; this does not exclude responsibility that the law places on Diskovalist.
Platform content is general information, not individual legal, tax, financial, medical or immigration advice. Seek qualified advice where appropriate. These Terms do not authorise us to submit applications, make payments or enter agreements on your behalf. Any such feature must provide a clear scope of authority and obtain the required authorisation.
6. Opportunities and third-party services
Listings may come from external sources, partners or users. Inclusion, ranking or linking does not by itself establish endorsement, accreditation, partnership or independent verification. Any verification claim applies only to the checks expressly described.
Third parties control their own eligibility rules, selection decisions, availability, fees and contractual terms. Diskovalist does not guarantee scholarships, admission, employment, funding, visas, investment returns or business results. A subscription pays for the stated Platform services, not a successful outcome.
Check a provider’s identity and original offer before sharing sensitive documents or paying fees. Report suspected scams. We may remove or restrict listings that appear unlawful, misleading or unsafe. This clause does not exclude duties imposed on us by law or responsibility for our own representations.
7. User content and intellectual property
You retain rights you hold in profiles, CVs, documents, listings, messages and other material you submit (“User Content”). You must have the rights and permissions needed to submit it, including where it contains another person’s information.
You grant us a non-exclusive, worldwide, royalty-free licence to host, reproduce, process, format, transmit and display User Content only as reasonably necessary to provide, secure and maintain the services you use. Service providers may exercise these rights on our behalf under appropriate obligations. Public or shared content will be available according to the feature and visibility settings you select.
This licence does not transfer ownership or independently authorise sale of your personal information or use of private documents to train general-purpose AI models. AI-provider processing, retention and any optional model-improvement use must be explained in the Privacy Policy and supported by the required lawful basis or consent.
The licence ends when the content is removed, except for legally required retention, reasonable backup cycles, dispute records and copies lawfully shared with others before removal, as explained in the Privacy Policy.
Diskovalist and its licensors retain rights in the Platform’s software, branding, design, databases and proprietary materials. External content remains subject to its owners’ rights. AI outputs may not be unique or eligible for exclusive intellectual-property protection; no exclusive rights are promised.
8. Plans, payments and renewal
Before you purchase, we will disclose the applicable services, price, billing currency, taxes or tax treatment, billing interval, usage limits, minimum commitment and any automatic-renewal terms. Amounts in these Terms are expressed in South African rand (R / ZAR) and United States dollars (USD). At checkout, the amount payable, billing currency and any indicative conversion will be clearly identified. An indicative comparison is not a promise that both currency amounts will remain equivalent. The confirmed billing currency governs charges and refunds for that transaction.
Your bank, card issuer or financial intermediary may impose its own payment, foreign-exchange, cross-border, transfer or receiving fees. Except where applicable law requires otherwise or the charge results from our error or breach, these independently imposed charges are your responsibility and Diskovalist is not required to reimburse them. Any fee imposed by Diskovalist itself must be disclosed before purchase.
Recurring charges require your express agreement to the disclosed renewal arrangement. Where agreed, your plan renews for the disclosed period until cancelled. Trial duration, conversion date and subsequent charges must be disclosed before enrolment. We will provide reminders and obtain renewed consent where required by law.
Cancel through the billing settings or the purchase channel identified at checkout. If you cannot access that route, contact info@diskovalist.com for assistance. Cancellation must be cost-effective, timely and easy to use, with no unnecessary obstacles. Where required by applicable law, it must be available through the same medium and at least as easily as enrolment, including a direct online cancellation route without compulsory interaction with a representative. Deleting an application does not cancel a subscription. We will confirm cancellation and its effective date. Ordinarily, cancellation stops the next renewal and access continues through the paid period, subject to earlier termination or refunds required by law.
We will give at least 30 days’ advance notice of a renewal price increase, or longer where required, and explain how to cancel before it applies. Changes will not retrospectively increase charges already agreed for a paid period. Failed payments may result in proportionate restrictions after notice where practicable.
9. Refunds and consumer cancellation rights
Nothing in these Terms removes rights to cooling-off periods, withdrawal, cancellation, service remedies or refunds that cannot lawfully be excluded. An unsuccessful application or unused subscription does not by itself create an additional refund entitlement.
Where section 44 of South Africa’s Electronic Communications and Transactions Act applies, an eligible consumer may cancel a service transaction without reason or penalty within seven days after conclusion and receive the legally required refund within 30 days of cancellation. Statutory exceptions may apply, including in certain cases where performance began with the consumer’s consent. Other cancellation rights under South African consumer law remain unaffected.
Where EU or EEA distance-contract rules apply, eligible consumers generally have 14 days to withdraw from a service contract. Early performance, proportionate charges and any loss of withdrawal rights depend on the legal classification of the service and the required express requests, consents and acknowledgements. Merely accepting these Terms does not waive those rights. Other jurisdictions’ mandatory rules also apply where relevant.
To request cancellation or a refund, email info@diskovalist.com with your account email and transaction reference. No explanation is required when exercising a statutory right to cancel without reason. Where we permanently withdraw a paid service without providing an agreed equivalent, we will refund the unused prepaid portion, subject to any more favourable legal entitlement.
Refunds will ordinarily be issued to the original payment method in the original billing currency. Diskovalist will initiate the refund within the applicable legal deadline; subsequent posting may depend on the payment network and receiving bank, without extending any deadline binding on us.
Bank charges on payments and refunds. Except where applicable law requires otherwise or a charge results from our error or breach, Diskovalist does not reimburse independently levied bank, card-issuer, intermediary-bank, receiving-bank or foreign-exchange charges associated with either a subscription payment or its refund. Currency movements or your financial provider’s conversion rate may change the amount credited in your account currency. Diskovalist will not deduct its own bank or payment-processing costs from a refund that the law requires to be paid in full, or otherwise use this clause to reduce a mandatory refund.
For United States users, cancellation and refund rights also depend on applicable federal and state law and the disclosed purchase terms. These Terms do not create a universal US cooling-off period or restrict rights arising from unauthorised charges, deceptive practices or applicable automatic-renewal laws.
10. Privacy and international data processing
Our separate Privacy Policy explains what personal information we collect, the purposes and legal bases for processing, recipients, retention, international transfers and how to exercise applicable rights. These Terms are not blanket consent to processing or cross-border transfers.
International processing must use safeguards required by applicable law, including South Africa’s Protection of Personal Information Act (POPIA), applicable United States federal and state privacy and data-security laws, and European or other local privacy rules where they apply. US state privacy rights and Maryland privacy requirements apply according to their statutory scope, thresholds and exemptions; incorporation in the United States does not make every US privacy statute applicable to every user. Separate consent will be requested where legally required, including for certain processing involving children. Do not upload information you lack authority to share.
11. Community, listings and institutional accounts
Where networking, messaging or publishing features are available, interact respectfully and comply with the law. Providers must accurately describe opportunities, material conditions and charges and keep listings reasonably current. Do not imply Diskovalist endorsement without permission.
Sponsored placement, advertising or affiliate relationships must be identified where required. Payments to us do not guarantee a provider’s credibility or a user’s acceptance. Institutional, recruitment or enterprise features may require additional written terms and data-protection arrangements.
12. Availability and service changes
We will provide the service with the care and skill required by applicable law. Maintenance, security incidents, network failures and external-provider changes may interrupt availability. We will give reasonable notice of planned material interruptions where practicable.
We may improve features or make necessary security and legal changes. If a change materially reduces a prepaid service, we will give appropriate notice and provide a suitable remedy, including cancellation and an appropriate refund where required. An event beyond our reasonable control does not excuse refunds or other duties that applicable law preserves.
13. Suspension, termination and records
You may stop using the Platform and request account closure. Cancel any recurring plan separately through the stated process. We may suspend or terminate access for material breach, fraud, serious safety or security risks, unlawful activity or non-payment.
Where reasonable and lawful, we will explain the grounds, allow an opportunity to remedy a remediable breach and provide a review route through info@diskovalist.com. Immediate restrictions may be necessary to prevent harm or meet legal obligations. We will assess disputed restrictions in good faith.
On termination, access ends and refunds are assessed under section 9 and applicable law. Where lawful and technically practicable, we will provide a reasonable opportunity to retrieve your content. Personal information is retained or deleted according to the Privacy Policy and legal obligations. Termination does not automatically justify forfeiture of every prepaid amount.
14. Disclaimers
Subject to mandatory rights and our express commitments, we do not promise uninterrupted or error-free operation, perfect AI accuracy, exhaustive opportunity coverage or a particular outcome. External-source information may change without notice.
No disclaimer excludes required standards of service, remedies for misleading representations or other non-excludable duties. Read this section together with the liability provisions below.
15. Important limitations of liability
This section limits potential recovery. It applies only to the extent permitted by applicable law.
We do not exclude or limit liability for fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, or any liability or remedy that cannot lawfully be excluded or limited.
Subject to those exceptions, we are not liable for indirect or consequential losses to the extent their exclusion is lawful. For business users, this includes lost business opportunities, anticipated profits or goodwill. Consumers retain any right to recover foreseeable losses or other compensation that applicable law protects.
Subject to the same exceptions and mandatory rights, our aggregate liability arising from the Platform in a twelve-month period is limited to the greater of the fees you paid us in the twelve months preceding the event giving rise to the claim and R2,000 (ZAR 2,000), expressed in USD using the South African Reserve Bank’s published USD/ZAR reference rate on the event date, or its most recent preceding publication date. This is one threshold expressed in two currencies, not two cumulative allowances. Where the contract is billed in USD, fees and the converted threshold are compared in USD; where billed in ZAR, they are compared in rand. The reference rate is used solely to calculate this contractual threshold and does not determine your bank’s conversion rate. This cap does not restrict mandatory refunds, statutory compensation or liabilities that cannot lawfully be capped. If a restriction is unlawful, the applicable legal standard governs instead.
16. Business-user indemnity
This section applies only to users acting in a business capacity and only where lawful. You will indemnify Diskovalist for reasonable, evidenced losses arising from third-party claims directly caused by your unlawful User Content, infringement of intellectual-property rights or deliberate misuse of the Platform.
The obligation does not cover losses caused by Diskovalist’s own fault. We must notify you promptly, allow reasonable participation in the defence and mitigate losses. No settlement imposing an admission or non-monetary obligation on you may be made without your consent, not to be unreasonably withheld.
17. International access and legal rights
Features may be restricted by country, legal requirements, provider permissions or payment availability. Global access does not mean every opportunity is open to every user. Users must comply with laws applicable to their activities, including applicable sanctions and export restrictions.
These Terms do not displace mandatory protections applying to consumers in South Africa, the United States, the EU/EEA, the United Kingdom or other jurisdictions. We do not represent that these Terms alone satisfy every local regulatory requirement.
18. Governing law and disputes
South African contracts. Where Diskovalist Pty Ltd is your contracting supplier, South African law governs the agreement, subject to mandatory protections applying to you elsewhere. Relevant legislation includes, where applicable, the Consumer Protection Act 68 of 2008, Electronic Communications and Transactions Act 25 of 2002 and Protection of Personal Information Act 4 of 2013.
United States contracts. Where Diskovalist INC is your contracting supplier, the agreement is governed by the laws of Maryland and applicable United States federal law, subject to mandatory protections under the laws of your state or other jurisdiction. Applicable requirements may include the Federal Trade Commission Act, the Restore Online Shoppers’ Confidence Act (ROSCA), the federal E-SIGN Act, the Maryland Consumer Protection Act and Maryland’s automatic-renewal requirements under Commercial Law §14-1329. Each applies only within its legal scope; this list is not exhaustive.
For online recurring subscriptions subject to ROSCA, we will disclose material terms before collecting billing information, obtain express informed consent before charging and provide a simple mechanism to stop recurring charges. Where Maryland law applies, we will provide the prescribed renewal and trial notices, cancellation options and required consents. These protections are additional to the commitments in sections 8 and 9.
Electronic records and signatures may be used where legally valid. Where law requires consent to electronic delivery or particular access and retention disclosures, we will obtain that consent and provide those disclosures separately. Acceptance of these Terms alone does not waive any required delivery procedure.
Services supplied jointly. An agreement identifying both entities as suppliers must state the governing law and allocate their responsibilities before acceptance. A choice of law does not override federal law or non-waivable consumer rights. We do not impose two conflicting governing-law systems on the same contract merely because both companies are named.
Please contact info@diskovalist.com with a dispute so we can attempt a good-faith resolution. We aim to acknowledge complaints within five business days and provide a substantive response within 30 days, or explain any necessary delay. This process is voluntary and does not prevent urgent relief, regulator complaints or action needed to preserve legal deadlines.
Disputes may be brought before courts with lawful jurisdiction. For business contracts with Diskovalist Pty Ltd, the parties submit to the non-exclusive jurisdiction of competent courts in Pretoria, South Africa. For business contracts with Diskovalist INC, the parties submit to the non-exclusive jurisdiction of competent Maryland state courts and, where subject-matter jurisdiction exists, federal courts in Maryland. Consumers retain any mandatory right to bring proceedings where they live. Arbitration requires a separate valid agreement; these Terms do not impose compulsory arbitration or a class-action waiver.
19. Changes to these Terms
We may update these Terms for legal, security, operational or product reasons. We will provide at least 30 days’ notice of material changes where practicable, explain their effective date and obtain fresh acceptance where required. Necessary urgent legal or security changes may take effect sooner, with notice as soon as reasonably practicable.
Changes do not retrospectively alter accrued rights or resolve existing disputes in our favour. If you reject a material change, you may stop using the affected service and cancel; mandatory refund and cancellation rights remain available. Continued use constitutes acceptance only where legally sufficient after adequate notice.
20. General provisions
If a provision is unenforceable, the remainder continues where legally possible. Failure to enforce a provision does not waive it. You may not transfer this agreement without consent unless the law permits it. We may transfer it as part of a genuine restructuring or business transfer only where lawful, with required notice and without reducing protected rights.
Notices may be provided through your registered email or account, subject to legally required delivery methods. Any translated version must preserve mandatory local rights; the English version governs interpretation only where legally permitted. These Terms and the expressly applicable purchase or enterprise terms constitute the agreement concerning the services they cover.
